These Terms govern access to and use of the Coinner platform at coinner.co and its related services (the "Platform"), operated under the Coinner trading name.
Please read them carefully. Automated leveraged trading can result in rapid and substantial losses, and Coinner's software can place orders while you are offline.
01Service Overview
Coinner provides cloud-based software for configuring and running automated strategies on supported third-party perpetual decentralized exchanges. Supported venues currently include dYdX, Hyperliquid, Aster, and Arcus and may change over time.
Coinner:
- Does not custody, deposit, withdraw, or transfer user funds
- Is not an exchange, broker, dealer, bank, or financial adviser
- Does not guarantee that any order will be accepted or executed
- Uses the permissions you grant to submit and manage orders and read account information for the features you configure
Orders are submitted to and executed, if accepted, by the connected exchange. Your exchange account, wallet, collateral, and positions remain subject to that exchange's rules and your control.
02Acceptance and Related Policies
By accessing or using the Platform, you agree to these Terms, the Privacy Policy, and the Risk Disclaimer. If you use the Platform for an organization, you represent that you have authority to bind it. If you do not agree, do not use the Platform.
03Eligibility and Compliance
You may use the Platform only if you:
- Are at least 18 years old and legally able to contract
- May lawfully access the Platform, digital assets, derivatives, and each connected exchange in your jurisdiction
- Are not subject to applicable sanctions or located where the Platform or relevant trading activity is prohibited
- Comply with applicable tax, reporting, market-conduct, exchange, and other legal obligations
Coinner does not determine whether a particular exchange, asset, derivative, leverage level, or strategy is lawful or suitable for you. We may restrict locations, users, features, markets, or exchanges to manage legal, security, or operational risk.
Exchange eligibility is continuous and may differ by venue. You must review and comply with the current geographic, sanctions, account, and product restrictions published by each exchange you connect. You must not create, activate, or allow a bot to continue for an exchange if you are restricted based on your citizenship, residence, physical location, place of incorporation or business, sanctions status, or any other rule imposed by that exchange or applicable law.
If you become ineligible or an exchange changes its restrictions, you must immediately stop the affected bots and take any necessary action directly at the exchange, including cancelling orders or closing positions. You must not use a VPN, proxy, false information, or any other method to conceal your location or evade geographic or eligibility controls. Technical access through Coinner does not mean that your use of Coinner or an exchange is lawful or permitted.
04Coinner and Exchange Accounts
You must provide accurate information, keep it current, protect your login and devices, and promptly report suspected unauthorized access. You may connect only an exchange account or wallet you own or are authorized to control.
You are responsible for all activity under your Coinner account and for maintaining sufficient collateral, margin, permissions, and exchange eligibility. Coinner may require email verification, multi-factor authentication, wallet signatures, or other security steps.
05Exchange Connections and Permissions
By connecting an exchange account, you authorize Coinner and its systems to use the trade-only API credentials, delegated agent key, or wallet approval you provide to:
- Read account, market, balance, position, order, and fill data
- Place, modify, and cancel orders
- Monitor and operate bots according to your configuration
- Perform connection, permission, referral, and eligibility checks
Coinner does not request withdrawal or transfer permissions. Some exchanges define the exact scope and technical capabilities of an API key or delegated agent; you must review those permissions before approval. Disconnecting an account in Coinner stops future Platform use of the connection but may not cancel open orders, close positions, or revoke a credential at the exchange. Revoke access directly with the exchange when you want to terminate it completely.
06Automated Strategies and Instructions
A bot configuration, activation, TradingView webhook, copy-trading selection, or similar action is your instruction to Coinner to operate the selected automation. You are responsible for reviewing every parameter, including market, direction, size, leverage, price range, intervals, limits, and stop conditions.
Automation may continue while you are offline and may submit orders rapidly. Pausing or deleting a bot may not cancel every exchange order or close any position unless the Platform expressly confirms that action. You must monitor the connected exchange and take direct action there when necessary.
07Copy Trading and Leaderboards
Leaderboards, trader statistics, rankings, return figures, and other analytics are informational and may be delayed, incomplete, calculated differently across exchanges, or affected by deposits, withdrawals, leverage, and incomplete historical data. A ranking or display is not an endorsement or recommendation.
Copy trading cannot reproduce another account exactly. Differences in timing, price, liquidity, collateral, leverage, market availability, position state, fees, and exchange rules can cause materially different results. You choose the leader and configuration and remain responsible for every resulting trade.
Public leaderboards and competitions may display public wallet addresses and associated performance data. Participation in a competition may also be subject to specific published rules; those rules control if they conflict with these general Terms for that competition.
08Fees, Referrals, and Exchange Compensation
Coinner currently makes supported bots available without a Coinner subscription fee. Connected exchanges may still charge trading, funding, liquidation, gas, spread, slippage, or other fees, all of which are your responsibility.
Coinner may use referral links or codes, builder codes, affiliate programs, or similar arrangements and may receive commissions, fee shares, or other compensation from an exchange based on account sign-up, eligibility, or trading activity. A Coinner-referred exchange account may be required for some venues or features. If you consent to binding a Coinner referral code during a connection flow, that action may be permanent under the exchange's rules.
Any exchange-funded discount or reward is offered and administered by the exchange, may have separate conditions, can change or end, and is not guaranteed by Coinner. Compensation does not make an exchange a Coinner agent or make Coinner responsible for that exchange.
09Acceptable Use
You must not:
- Use the Platform unlawfully or violate exchange rules
- Manipulate markets, abuse referral or competition programs, submit deceptive activity, or infringe another person's rights
- Probe, disrupt, overload, reverse engineer, scrape, or bypass access, rate, geographic, security, or bot limits except where law expressly permits
- Introduce malware, compromise credentials, impersonate another person, or access accounts or data without authorization
- Resell or commercially exploit the Platform without written permission
We may investigate, rate-limit, suspend, or terminate access and preserve relevant records when we reasonably believe misuse or risk exists.
10Third-Party Services
The Platform depends on independent exchanges, blockchains, wallets, RPC and indexer services, market-data providers, TradingView, Telegram, Google/Firebase, and infrastructure providers. Their terms, privacy policies, availability, fees, rules, and decisions apply to your use of their services.
Coinner does not control and is not responsible for third-party code, smart contracts, validators, order books, bridges, oracles, APIs, custody, insolvency, forks, governance, security incidents, outages, restrictions, or asset listings. Links do not constitute an endorsement except for the commercial referral relationship disclosed above.
11Intellectual Property and Feedback
Coinner and its licensors own the Platform, software, design, branding, and Coinner-created content. Subject to these Terms, Coinner grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Platform.
You retain rights in content you submit. You grant Coinner the rights reasonably necessary to host, process, transmit, and display that content to provide the Platform. Feedback may be used without restriction or compensation.
12Risk and No Advice
Digital assets, perpetual contracts, leverage, and automated trading are highly risky. You can lose all funds committed to a strategy and, where an exchange permits, may incur additional obligations. Review the Risk Disclaimer before connecting an account or activating a bot.
Coinner does not provide investment, financial, trading, legal, accounting, or tax advice. No Platform content, strategy template, ranking, statistic, alert, or communication is advice or a promise of results. Obtain independent professional advice where appropriate.
13Disclaimers of Warranties
To the maximum extent permitted by law, the Platform is provided "as is" and "as available." Coinner disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation. We do not warrant any trading result, exchange response, data accuracy, or compatibility with a particular strategy or jurisdiction.
14Limitation of Liability
To the maximum extent permitted by law, Coinner and its affiliates, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, opportunities, goodwill, or data; or losses arising from trading, liquidation, your instructions or configuration, or any exchange, blockchain, market, network, credential, oracle, smart-contract, or other third-party event. These exclusions do not apply to liability resulting from Coinner's fraud, intentional misconduct, or gross negligence, or to any liability or mandatory consumer right that cannot lawfully be excluded or limited.
15Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Coinner and its affiliates and personnel from third-party claims, losses, liabilities, and reasonable expenses arising from your use of the Platform, your exchange or trading activity, content or instructions, breach of these Terms, violation of law or third-party rights, or unauthorized use of your account caused by your failure to secure it.
16Suspension and Termination
You may stop using the Platform and request account deletion at any time. We may suspend or terminate access, bots, connections, markets, or features immediately for security, legal, exchange, abuse, maintenance, or operational reasons.
Termination does not automatically close exchange positions, cancel all exchange orders, revoke exchange credentials, reverse a referral, or eliminate obligations accrued before termination. Provisions that by nature should survive, including risk allocation, intellectual property, liability, indemnity, and dispute provisions, will survive.
17Changes to the Platform or Terms
We may add, change, suspend, or discontinue exchanges, features, limits, eligibility rules, referral arrangements, or the Platform. We may also update these Terms by posting a revised version and effective date and providing additional notice where required.
Material changes apply prospectively. Your continued use after the revised Terms take effect constitutes acceptance where permitted by law; otherwise, stop using the Platform.
18General Terms
These Terms and incorporated policies are the entire agreement about the Platform. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Coinner may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Platform.
